HOLD MY BAG – TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the Hold My Bag platform, including all websites, applications, digital features, content, and services made available from time to time (collectively, the “Platform”), operated by Hold My Bag Club LLC (“Hold My Bag,” “we,” “us,” or “our”).

These Terms apply to all features and services made available by Hold My Bag Club LLC, including those accessed through affiliated websites. By accessing or using the Platform, creating an account, or completing a purchase, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. ELIGIBILITY

You must be at least 18 years of age to use the Platform. You are responsible for ensuring that your use of the Platform is permitted in your jurisdiction. We reserve the right to restrict access, suspend accounts, or terminate use if eligibility cannot be confirmed.

2. ACCOUNT REGISTRATION AND SECURITY

Certain features of the Platform may require registration. You agree to provide accurate and current information and to maintain the security of your account credentials. You are responsible for all activity conducted through your account. Account sharing, resale, or transfer is prohibited. We may suspend or terminate accounts at our discretion.

3. PLATFORM ACCESS AND SERVICES

The Platform is a membership-based digital fan engagement service. Members may access a variety of interactive features, community tools, digital content, and optional premium offerings made available by Hold My Bag Club LLC from time to time.

  • Free Features: Some features are available at no cost for general fan engagement.

  • Event Passes: Other features require the purchase of a limited-term membership pass (“Event Pass”).

  • Service Delivery: Purchased Event Passes constitute a limited-term Membership Service. This service provides immediate access to proprietary data visualizations, interactive fan tools, and community engagement features. Use of these features constitutes full delivery of the digital service purchased.

  • Outcomes: Purchased access grants the ability to use specific platform features and is not tied to any particular real-world outcome or result.

4. ADDITIONAL RULES AND GUIDELINES

Certain features, promotions, or activities made available through the Platform may be subject to additional rules, guidelines, or terms (“Additional Rules”). In the event of a conflict between these Terms and any Additional Rules, the Additional Rules shall control solely with respect to the applicable feature or activity.

5. PURCHASES AND PAYMENTS

Purchases made through the Platform grant access to digital platform features and membership services.

  • Refunds: Due to the immediate nature of digital service delivery, all sales are generally final. Refunds, if any, are provided only in limited circumstances (such as verified technical errors) at the discretion of Hold My Bag Club LLC or as required by law.

  • Processing: Payments are processed through third-party service providers. Hold My Bag Club LLC does not store full payment credentials. You are responsible for any applicable taxes associated with your purchases.

  • Restrictions: We reserve the right to cancel, suspend, or restrict access to purchased features in the event of suspected misuse, error, or violation of these Terms.

6. DATA, AVAILABILITY, AND MODIFICATIONS

The Platform may rely on data, services, or infrastructure provided by third parties. Features may be unavailable, delayed, modified, or discontinued due to maintenance, technical limitations, or external dependencies. We do not guarantee uninterrupted availability of the Platform or any feature.

7. ACCEPTABLE USE

You agree not to:

  • Use automated tools, scripts, or data extraction methods.

  • Attempt to interfere with or disrupt the Platform.

  • Exploit errors, vulnerabilities, or unintended behavior.

  • Circumvent access restrictions or safeguards.

  • Harass, threaten, or abuse other users.

Violations may result in restriction of access, suspension, or termination of your account.

8. INTELLECTUAL PROPERTY

All content, software, designs, trademarks, and proprietary materials on the Platform are owned by or licensed to Hold My Bag Club LLC. You are granted a limited, non-exclusive, revocable license to access the Platform for personal, non-commercial use. You may not copy, modify, distribute, reverse engineer, or commercially exploit any portion of the Platform without written permission.

9. THIRD-PARTY SERVICES

The Platform may integrate with or depend on third-party services. We are not responsible for the performance, availability, or accuracy of third-party services.

10. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLD MY BAG CLUB LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLD MY BAG CLUB LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HOLD MY BAG CLUB LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Hold My Bag Club LLC and its affiliates from any claims, losses, or expenses arising from your use of the Platform or violation of these Terms.

13. TERMINATION

We may suspend or terminate your access to the Platform at any time, with or without notice. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class or representative actions.

15. CHANGES TO TERMS

We may update these Terms from time to time. Updated Terms will be posted with a revised “Last Updated” date. Continued use of the Platform constitutes acceptance of the updated Terms.
